Terms of Service

1. Agreement to Terms

By accessing or using ChargedAPI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including without limitation users who are browsers, customers, merchants, and/or contributors of content.

2. Description of Service

ChargedAPI provides document conversion, PDF manipulation, image processing, AI-powered document tools, and document generation services through a web interface and API ("Services"). The Service allows users to:

• Convert files between various formats (documents, spreadsheets, presentations, images)
• Manipulate PDF files (compress, protect, rotate, split, OCR, extract)
• Process images (resize, convert, compress, crop, rotate)
• Use AI-powered tools (redaction, accessibility enhancement)
• Generate documents from templates

3. Account Registration

To access certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and API keys
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

4. Acceptable Use Policy

You agree NOT to use the Service to:

• Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Upload files containing malware, viruses, or any other malicious code
• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use the Service for any commercial purpose without proper authorization
• Scrape, data-mine, or use automated means to access the Service beyond normal API usage
• Share your API keys with third parties or allow unauthorized access to your account
• Exceed your plan's usage limits through abuse or circumvention

5. File Handling and Data Retention

• Temporary Storage: All uploaded files and generated outputs are stored temporarily for processing purposes only
• Automatic Deletion: Files are automatically and permanently deleted within 24 hours of upload
• No Backup: We do not create backups of your files. Once deleted, files cannot be recovered
• Download Responsibility: You are responsible for downloading your converted files before they are deleted
• No Long-term Storage: The Service is not intended for file storage. Do not rely on the Service to store your files

6. Credit System and Billing

The Service operates on a credit-based system:

• Credits: Different operations consume different amounts of credits based on complexity
• Monthly Allocation: Credits are allocated monthly based on your subscription plan
• No Rollover: Unused credits do not roll over to the next billing period
• No Refunds for Usage: Credits consumed cannot be refunded
• Plan Changes: You may upgrade or downgrade your plan at any time. Changes take effect at the next billing cycle
• Overuse: If you exceed your credit limit, additional requests will be rejected until your credits reset or you upgrade your plan

7. Payment Terms

For paid subscription plans:

• Payment is due at the beginning of each billing cycle
• All fees are exclusive of applicable taxes
• You authorize us to charge your payment method on a recurring basis
• Failure to pay may result in suspension or termination of your account
• Refunds are issued at our sole discretion
• We reserve the right to change pricing with 30 days notice

8. Service Availability and Modifications

• We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free
• We reserve the right to modify, suspend, or discontinue the Service at any time without notice
• We may perform scheduled maintenance that temporarily affects Service availability
• We are not liable for any modification, suspension, or discontinuance of the Service
• Features and functionality may change without notice

9. Intellectual Property

• Your Content: You retain all rights to the files you upload. We claim no ownership over your content
• Our Service: The Service, including its original content, features, and functionality, is owned by ChargedAPI and is protected by copyright, trademark, and other laws
• License to Process: By uploading files, you grant us a limited license to process your files solely for the purpose of providing the Service
• Feedback: Any feedback, suggestions, or ideas you provide may be used by us without obligation to you

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Service will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The results of using the Service will meet your requirements
• The quality of any products, services, information, or other material obtained through the Service will meet your expectations
• File conversions will be 100% accurate or preserve all formatting
• AI-powered features will detect all relevant information or be error-free

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROCONVERTAPI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR:

• Loss of profits, goodwill, use, data, or other intangible losses
• Loss or corruption of files or data
• Service interruptions or downtime
• Unauthorized access to or alteration of your transmissions or data
• Statements or conduct of any third party on the Service
• Any other matter relating to the Service

Maximum Liability: Our total liability to you for any claims arising from or relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to defend, indemnify, and hold harmless ChargedAPI and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your content or files uploaded to the Service
• Your violation of any rights of a third party

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Violation of the Acceptable Use Policy
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• At your request

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
